“Confidential Information” means any material or information provided to, or created by, a User to evaluate a Project or a User, regardless of whether the information is in tangible, electronic, verbal, graphic, visual, or other form. Confidential Information does not include material or information that is known to the public or that: (a) is generally known by third parties as a result of no act or omission of Consultant (as defined below) or Client; (b) subsequent to disclosure hereunder, was lawfully received without restriction on disclosure from a third party having the right to disseminate the information; (c) was already known by User prior to receiving it from the other party and was not received from a third party in breach of that third party’s obligations of confidentiality; or (d) was independently developed by User without use of another person’s Confidential Information.
“Consultant Services” means all services performed for or delivered to Clients by Consultants.
“Fee Discounts” means any discounts or fee ceiling arrangements that a Client may be entitled to receive (if any) with respect to the Marketplace Fees, as further described on Schedule I attached hereto.
“Fixed-Price Contracts” means any Service Contract for which Consultant Fees to be paid to a Consultant for the provision of Consultant Services to a Client are based on a fixed-fee for the completion of all Consultant Services contracted by Client.
“Governmental Authority” means any government or other political subdivision, agency or instrumentality thereof or any entity exercising executive, legislative, judicial, regulatory or administrative functions of or pertaining to government, in each case to the extent the same has jurisdiction over the Person or property in question.
“Government Official” means (a) officers and employees of any national, regional, local or other Governmental Authority; (b) officers or employees of companies in which a Government Authority owns an interest; (c) any private person acting in an official capacity for or on behalf of any Government Authority (such as a consultant retained by a government agency); (d) candidates for political office at any level; (e) political parties and their officials; or (f) officers, employees or official representatives of public (quasi-governmental) international organizations (including the United Nations, World Bank or International Monetary Fund).
“Hourly Contracts” means any Service Contract for which the Consultant Fees to be paid to a Consultant for the provision of Consultant Services to a Client are based on the hourly rate charged by Consultant.
“including” means including without limitation.
“Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.
“Payment Method” means a valid credit card issued by a bank acceptable to Keylime, a bank account linked to your Account (as defined below), a PayPal account, a debit card, or such other method of payment as Keylime may accept from time to time in our sole discretion.
“Person” means an individual, corporation, partnership, limited liability company, association, trust or other entity or organization, including a Governmental Authority.
“Project” means an engagement for Consultant Services that a Consultant provides to a Client under a Service Contract on the Keylime Platform.
“Service Contracts” means a legally binding contract between a Client and a Consultant for the provision of Consultant Services, as more specifically described in Section Error! Reference source not found..
“Specially Designated National or Blocked Person” means either: (a) a person or entity designated by the U.S. Department of Treasury's Office of Foreign Assets Control from time to time as a "specially designated national or blocked person" or similar status; (b) a person or entity described in Section 1 of U.S. Executive Order 13224, issued on September 23, 2001; or (c) a person or entity otherwise identified by government or legal authority as a person with whom Keylime is prohibited from transacting business.
“User” (including, “you”, or “your”) means, collectively, any Consultant, Client, Authorized User, and any other Person that is a party to the Terms of Service.
“User Content” means any content, including, without limitation, writings, files, pictures or any other work, that is posted or transmitted by a User using the Keylime Platform.
